VOICEAI LLC – TERMS OF SERVICE

THIS AGREEMENT CONTAINS A BINDING CLASS-ACTION WAIVER AND JURY-TRIAL WAIVER (SECTION 15). BY CREATING AN ACCOUNT, SUBSCRIBING, OR OTHERWISE USING THE SERVICE, YOU ACCEPT AND AGREE TO THESE TERMS. PLEASE READ CAREFULLY.
By accessing or using any part of the Service, you (i) acknowledge that you are at least 13 years old and have legal capacity to enter contracts, and (ii) agree to comply with these Terms and the documents referenced herein (collectively, the "Agreement"). If you do not agree, do not use the Service.
2.1 Registration. You agree to provide true, complete, and current information when you create an account and to keep it updated.
2.2 Security. You are solely responsible for all activity under your credentials. Notify us immediately of any unauthorized use.
2.3 Representatives. If you access the Service on behalf of an organization, you represent that you have authority to bind that entity to this Agreement.
3.1 Functionality. Voiceai offers a 24 × 7 AI voice agent that can provision phone numbers, answer inbound or outbound calls, respond using scripts you supply, capture leads, send follow-up texts/emails, and integrate with calendars and CRMs.
3.2 Your Responsibilities. You control the prompts, scripts, numbers, outbound campaigns, and integrations you supply. You are responsible for:
3.3 Changes & Beta. We may modify, replace, or discontinue any feature (including betas) at any time.
3.4 AI Booking Calendar Feature. To enable the AI Booking Calendar feature, you must maintain an active cal.com account and provide a valid cal.com API key.
4.1 Subscription Plans. Pricing, included minutes, and feature limits are displayed at checkout and may be updated for future terms by posting revised pricing on the Site.
4.2 Payment Method. We use PCI-DSS-compliant processors (e.g., Stripe). By adding a card, you authorize automatic charges each billing cycle for all accrued fees, taxes, and overages.
4.3 Auto-Renewal & Cancellation. Plans renew automatically for successive terms unless you cancel via the dashboard before the end of the current term. Cancellation halts future charges but does not refund past payments.
4.4 Failed Payments. If a payment attempt fails, we may: (a) retry the charge, (b) issue an invoice with a 7-day grace period, and/or (c) suspend or terminate the Service.
4.5 Phone Number Cancellation. If you do not renew your monthly subscription, any phone number that has been purchased or provisioned under your account will be automatically canceled at the end of the current billing term.
4.6 Payment Processing & Taxes. We accept various payment methods through Stripe, including Mastercard, Visa, and American Express. By using the Service, you agree to be bound by Stripe's Services Agreement and Acceptable Use Policy (collectively, "Stripe Terms"), available at https://stripe.com/legal. All information you provide in connection with a purchase must be accurate, complete, and current. You agree to pay all charges incurred by users of your payment method at the prices in effect when such charges are incurred and to pay all applicable taxes.
4.7 Disputes & Chargebacks (Fair Billing Policy). If you believe a charge is incorrect, you must email [email protected] within 7 days of the charge appearing on your statement and provide reasonable detail. We will investigate in good faith and, if an error is confirmed, issue a credit or refund within 10 business days. Initiating a chargeback without first following this process may result in immediate suspension of the Service.

You may not use voices or likenesses of real persons without lawful rights or create content intended to mislead recipients.
6.1 License. You grant Voiceai a worldwide, non-exclusive license to copy, process, transmit, and display Customer Data as necessary to provide, maintain, and improve the Service, including model-training on de-identified, aggregated data.
6.2 Security. We implement commercially reasonable safeguards to protect Customer Data.

For each use, the duration is calculated and automatically deducted from your account as follows:
The usage time is rounded up to the next whole minute and automatically deducted from your account.
The Service interoperates with carriers, SMS gateways, CRMs, calendars, and other vendors. Voiceai is not liable for the acts, omissions, or failures of those third parties.
9.1 Ownership. The Service, software, documentation, and all related intellectual-property rights are owned by Voiceai and its licensors. All rights not expressly granted are reserved.
9.2 Limited License. Subject to this Agreement, Voiceai grants you a revocable, non-exclusive, non-transferable license to access and use the Service solely for your internal business purposes.
9.3 Feedback. Any suggestions or feedback you provide may be used by Voiceai without restriction or compensation.
Each party will protect the other's non-public information with the same degree of care it uses for its own confidential information (but no less than reasonable care) and will use such information only to fulfil its obligations under this Agreement.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." VOICEAI DISCLAIMS ALL WARRANTIES—EXPRESS, IMPLIED, OR STATUTORY—INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. VOICEAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SUITABLE FOR YOUR INTENDED PURPOSES, OR THAT AI-GENERATED CONTENT WILL BE ACCURATE OR COMPLETE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOICEAI'S TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE WILL NOT EXCEED (A) THE FEES YOU PAID TO VOICEAI FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED DOLLARS (US $100), WHICHEVER IS GREATER. IN NO EVENT WILL VOICEAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES (INCLUDING LOST PROFITS, REVENUE, OR DATA), EVEN IF ADVISED OF THEIR POSSIBILITY.
Some jurisdictions do not allow certain disclaimers or limitations; in such cases, the foregoing applies to the greatest extent permitted.
You will indemnify, defend, and hold harmless Voiceai and its officers, directors, employees, and agents from any third-party claim, damage, loss, liability, or expense (including reasonable attorneys' fees) arising out of: (a) Customer Data; (b) your breach of this Agreement; or (c) your violation of law.
Voiceai respects copyright law. If you believe material hosted on the Service infringes your copyright, please send a notice to [email protected] with: (i) your physical or electronic signature; (ii) identification of the copyrighted work; (iii) identification of the infringing material; (iv) contact information; (v) a statement of good-faith belief; and (vi) a statement, under penalty of perjury, of accuracy and authority. We may remove or disable infringing material in accordance with the DMCA.
15.1 Informal Resolution. Prior to initiating litigation, either party must send the other a written notice describing the claim and attempt to negotiate in good faith for 60 days.
15.2 Venue & Governing Law. This Agreement is governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles. The state and federal courts located in Sheridan County, Wyoming shall have exclusive jurisdiction.
15.3 Class-Action Waiver. ALL CLAIMS WILL BE BROUGHT SOLELY ON AN INDIVIDUAL BASIS; CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTIONS ARE NOT PERMITTED. IF A COURT FINDS THIS WAIVER UNENFORCEABLE, ANY CLASS CLAIM MUST BE LITIGATED IN A COURT OF COMPETENT JURISDICTION, NOT ARBITRATED.
15.4 Jury-Trial Waiver. EACH PARTY WAIVES THE RIGHT TO A TRIAL BY JURY.
We may suspend or terminate your access immediately if we reasonably believe you (i) violated this Agreement, (ii) pose a security or legal risk, or (iii) are delinquent in payment. Upon termination, your right to use the Service ceases, but Sections 6-18 survive.
We may revise these Terms or modify the Service by providing at least 30 days' notice (email or in-app). Continued use after the effective date constitutes acceptance. If you object, your sole remedy is to cancel before the changes take effect.
Neither party is liable for delay or failure to perform due to events beyond its reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, utility failures, or government actions.
Entire Agreement. This Agreement (including any Order Forms and policies referenced) is the entire agreement between the parties and supersedes all prior agreements.
Severability. If any provision is held unenforceable, the remainder will remain in effect.
Assignment. You may not assign this Agreement without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
No Waiver. Failure to enforce any provision is not a waiver of future enforcement.
Our Services are intended for users who are at least 13 years old. If you are under the age of 18, you may only use the Services with the consent and supervision of a parent or legal guardian. By allowing a minor to use the Services, the parent or guardian agrees to be bound by these Terms on the minor's behalf.
You may not use, access, or register for the Services if you are located in a country subject to U.S. embargoes or economic sanctions, or if you are a person or entity blocked or denied by the U.S. government (including those listed on the U.S. Department of Treasury's Office of Foreign Assets Control ("OFAC") Specially Designated Nationals list, or other applicable restricted party lists). You agree to comply with all applicable U.S. export control laws and regulations, including ITAR and EAR, as well as any other applicable export and sanctions regulations.
We are committed to protecting your personal data. Depending on the circumstances, we may act as a "data controller" or "data processor" under applicable data protection laws. Our collection and use of personal data is described in our Privacy Policy. For users located in the European Economic Area (EEA), Switzerland, or the United Kingdom, we will comply with the General Data Protection Regulation ("GDPR"), and for users in California, we will comply with the California Consumer Privacy Act ("CCPA"). If required, we will enter into a Data Processing Addendum (DPA) with customers to address data protection obligations under applicable law.
